		<description>People this isn&#039;t that hard.  It&#039;s called the &quot;Agency Problem&quot; and it&#039;s something that everyone who took business law or econ 101 even in state schools heard about.  The Agency Problem refers to the idea that there is a fundamental tension between a company&#039;s shareholders and its managers.  See the shareholders want to maximize the value of their shares which usually entails increasing profits.  However, the managers (the people actually doing the work/creating the value) want to maximize the value of their take home pay.  Sometimes you can align the two and make sweet, beautiful bidness together.  Other times you have a bunch of overpaid Yahoos (oops, wrong term) that run around and don&#039;t really create much value.
The other thing at work here is what is called market transition.  See, the market since Yahoo! started has changed dramatically.  Yahoo! needs to be a different company than it was when it started.  Simply being the most usable online destination won&#039;t cut it anymore.  Google came along with the universe&#039;s most scalable and profitable online business model and showed everyone how it&#039;s done.  Unfortunately, the Yahoos who own Yahoo!s stock are now pissed.  &quot;You mean we could&#039;ve made THAT much money???&quot;  And they have a point:  at what point in time could Yahoo! have said, &quot;Gee, Google&#039;s business model is reaaaaaaally compelling, let&#039;s match that.  We are amazingly larger than they are and have infinite resources compared to them.&quot;  (Clearly this comment is dated pre- 2003ish.)  Unfortunately, at that exact same time, the Valley was undergoing one of the biggest hangovers in history.  Thank the dot-com 1.0 excesses for making the survivors timid (I&#039;m looking at you Kibu.com and Webvan!).  So IAC, Yahoo!, Expedia, eBay and Amazon were all trying to be conservative and complying with the &#039;new rules&#039; instituted across techland by Bust 1.0.  This is how Google came to eat everyone&#039;s lunch.
So now we have a situation where the shareholders (i.e. owners) of Yahoo! have no confidence in the managers of Yahoo!  The managers stamp about and say, &quot;I know better than you, to do a deal with Microsoft, because I am here creating value, while you are just an investor!&quot;  The owners stamp about and say, &quot;Free Lattes is about all that Yahoo! has created lately, time to sell to a bigger fool that will actually have you!&quot;
Then parasites like Michael Arrington stamps about and says, &quot;Everyone&#039;s talking about Yahoo! and I think I can inflame many, many losers who have too much time to visit my blog by taking incendiary positions on this topical, um...topic!  If I were fair and balanced like Fox News, no one would ever visit me, which sucks because I don&#039;t get out much.&quot;
So, here we are with flametards set to full.  A bunch of people who have way too much time on our hands debating about something over which we will have absolutely no say...
