Jana owns 21% of the company, but wants to name 46% of the board. That’s as ludicrous as CNET denying them any seats on the board.

I don’t know what the articles of incorporation say (which should govern the judge’s ruling, baring any illegal provision of said articles), but from a fairness perspective, Jana should have board representation, as should all investors, but not more than the proportion of the amount they own (unless they can get additional shareholders to vote with them).
