I've watched yahoo from the beining back in 1995 is when I found yahoo chat.

the situation there was yahoo allowed it's users to abuse other users and so lots of them went to MSN to avoid the abuse.

my guess here is that the MSN users are banned together to form a coalition against yahoo on every front, yahoo has consitantly avoided justice.

the conspiracy is that yahoo is a porno ring for big business tycoons who use yahoo as a front for their illegal activities.

yahoo did NOTHING to prevent porn, all they did was close some rooms and make it LOOK like they were compliant with the law.

Yahoo is so crooked it's a wonder anybody even goes to yahoo chat anymore.

yahoo would get investigated if microshaft took over , and thats whats really going on here, microsoft feel they can buy yahoo and destroy them for good.

if thats the case I fully support microsofts actions !

not that microsoft are any better as they are gettin their fair share of coruption and law suits for their vista operating system which renders lots of computer hardware inoperable.

the floods of technical support questions flood in to fixya.com another site of illrepute who abuse it's users for their religious orientation.

Also these websites , some of them have no contact numbers and flee from any communication with CEOs or people in charge.

This internet abuse is comming to a head ! the finland insodent.

Yahoo is just a dirty little website with a nice shiney front face they show to the public at the front door , but you go digging deeper and you discover the truth about yahoo that it allows porno bots to abuse regular folks on the chat rooms.

it's like following a blood trail of a killer , thats what yahoo is like , you can easly trace back the porno to the sources.

we have all been played by some top ranking mobsters who love porno and murder.

so it's time this all got put on the table.

israel wants to do business in the united states and yahoo is part of that.

the israeli zionists need to be tought a lesson here, we will not be abused.
we will not be used , we will get justice one way or another.

so help me help you stop them !

don't allow yourselve to be abused over the internet !

MSFT share holders should sue MSFT for this incredibly pinheaded offer.

What exactly do they think they're buying?

The vast majority of employees that built Y! into a great company are long gone (6-8 years ago). The few stragglers (and founders of recently acquired companies) will leave if MSFT closes the deal.

So they're buying a brand, some traffic, way too many VP's, and a bunch of mid level managers who are good at not taking risks.

I agree wholeheartedly with Mark Otero above.

Microsoft are masters of this, just look at how they pushed everyone else out of the Facebook deal by overvaluing it and still walking away with a bargain. (<$300 million = bargain)

Here they have played the Murdoch doctrine. The high bid overvalues the company so that if they reject, as they did, their shareholders will deal with them. Either way they get Yahoo, or Yahoo is bogged down facing litigious shareholders.

Masterful stuff!

What can Yahoo say in its defense? We trusted our management? Umm... we thought the brand would be better with us?

Not a chance, the guys let a group of upstarts with a silly sounding name take over their top spot.. and then go onto monetize search beyond Yahoo's wildest dreams...

nope, they are shareholders so they do get a say, they don't have to work there. If the workers don't like it then perhaps they should buy some shares rather than using other peoples money to build their company (and failing).

Pooptooth:

"Genuine, passionate, and altruistic" business principles should be kept in private companies. Once Yahoo went public and took shareholder money, they accepted the responsibility of making money for them. What you said is all fine, but keep your company private then.

I'm pretty sure some other shareholder group would have filed a derivative suit against the Yahoo board had they ACCEPTED the Microsoft offer - for not shopping around to try to get a higher bid.

The directors' primary role is to maximize shareholder value. In light of the recent years, Yahoo has not delivered delivered; therefore, an alternative option should be strongly considered and explored. A buyout by Microsoft would - indeed - in the short run maximize the shareholders' value.

It's understandable that so many shareholders - and interested parties - have lost faith in Yahoo's management and leadership staff in turning Yahoo around in recent years. Yahoo has lost ground to Google (in search), Facebook & MySpace (in social networking), and does not seem reasonably capable of turning the company around to what its promise could be. The way I see it, either replace (or significantly adjust) the leadership team or sell the company at a premium to Microsoft. This seems fair. Yahoo get your act together. Please.

That seems like a frivolous lawsuit to me. I understand the frustration of shareholders wanting to make more money, but their raw greed should not be allowed to trump the genuine, passionate, and altruistic attempts by long-seated executive members to find a way of thwarting a takeover.

Business values go up and down. All business values. If shareholders want to change the course of Yahoo and make it more profitable so their stocks are worth more, maybe they should consider getting a job their and contributing value added ideas instead of hiring a polyester suit to file a bunk lawsuit claiming they are disenfranchised. It's this type of legal BS that makes some stomaches churn. Puke.

Watching this news event take place from the day Microsoft made their unsolicited offer has been a real crash course in big business dynamics. So many people have so many kinds of interests for so many reasons, the companies themselves ultimately move by the ends of any human's logic.

If they think MS stock is better then they should buy some. Other than that, MS has nothing to offer Yahoo and no Yahoo property will become better after an MS buyout. Organizations like the above are not really interested in Yahoo's success or failure as a company, they are simply speculators. They should just sell their Yahoo stock and move on and let people who care about Yahoo's success run Yahoo.

Yahoo may certainly still fail, or more likely just be a long running 2nd and 3rd place in a bunch of categories. As Apple has shown, there's plenty of action in just doing well even if you don't dominate your industry.

<blockquote>"Regardless of their emotional ties to Yahoo and their desire to retain their positions as directors at the company, the Yahoo directors owe fiduciary duties to Yahoo and its shareholders."</blockquote>

How about "Because of their lack of emotional ties to Yahoo and interest in nothing besides a one time stock sale, The Detroit Retirement system shouldn't really be the ones to determine the direction of this company"

I think this is a rather odd suit. They are lowering the value of the stock by sueing Yahoo about re-thinking a MS buyout? What is there to re-think?

What you want is what exactly? For them to just except it so your stock goes up 3 dollars for a few weeks before everybody sees that the merger won't work? Or maybe it will work.... the point is what is with all the fuss? If you don't like what they are doing then bring it to the board or the other stockholders somehow. Or maybe sell your stock and move it somewhere else?

I think this is a rather odd suit. They are lowering the value of the stock by sueing Yahoo about re-thinking a MS buyout? What is there to re-think?

What you want is what exactly? For them to just except it so your stock goes up 3 dollars for a few weeks before everybody sees that the merger won’t work? Or maybe it will work…. the point is what is with all the fuss? If you don’t like what they are doing then bring it to the board or the other stockholders somehow. Or maybe sell your stock and move it somewhere else?

Yahoo just needs to give up before they implode or fizzle into obscurity. The 50% boost in their stock price is only the beginning of good things to come if they could only accept MSFT already.

Yes, Detroit's making things hard on themselves already-- but Yahoo needs to just buy back all their stock if they want to act like they're privately held. They've deliberately and specifically increased their potential liabilities to employees, and that's going to hurt regardless of what happens to the buyout. That loss of value was taken from all the shareholders, these suits are not a surprise.

This has been coming for years. Yahoo utterly failed with Panama and all of their big changes, now they're just being ridiculous. As for MS, they'll be better off without that sinking ship dragging them down.

Hmmmm. I'm surprised by this development. Detroit being my hometown, perhaps they should focus their efforts on matters closer to home -- Like that pathetic mayor, Kwame Kilpatrick.
