For MSFT to pay 1/3 of the value for a mini-Google that could have as much potential as GOOG is a bargain. If they leverage all of their properties together, they can do very well financially. Plus MSFT gets a foothold in China as a bonus, too!

Mobile is the next big thing and YHOO is better positioned than MSFT to monetize from this boon. I'm surprised some of the media, cable or telecoms have not placed a bid or aren't at least considering some investment in YHOO. These companies need to look into the future. We won't need cable or satellite television anymore once the internet is connected to the tele. We'll need fast internet connection and the ability to search and find all types of media on the mobile, lap or home station.

YHOO does need help still. Panama is no Adwords. With MSFT, maybe it's possible?

"First, the industry needs a more compelling alternative in search and online advertising."

I agree and maybe we will have one, one day. Microsoft + Yahoo = disaster.

Sounds to me like MS wants to lay off the overlap on its side and keep the Yahoos, since laying off Yahoos will be costly after that sweet "change of control" package they announced.

I think this is a very different type of merger, and you can expect them to hold onto almost every developer from Yahoo. Notice this:

While some overlap is expected in any combination of this size, we should remember that Microsoft is a growth company that has hired over 20,000 people since 2005, and we would look to place talented employees throughout the company as a whole. We have no shortage of business and technical opportunities, and we need great people to focus on them.

Yahoo is 15,000. Microsoft has hired more people than that in 3 years.

I anticipate Microsoft will pay a 100%+ premium to Yahoo's January 31, 2008 per share closing price. Yahoo will attempt a $50 billion merger with News Corp. as an alternative to pacify shareholders and Microsoft will offer them a deal they can't refuse. This letter clearly indicates this deal is now a formality to be dealt with quickly. Let the process begin...let Google take it to the next level.

I read first few lines and I got tired of rambling, that guy can write and write and write
....no wonder employees at Microsoft don't work!!!

They read stupid emails from their own boss hahahah :)

If I had 80billions of dollars I would probably spend on some good charity purposes but still in the way to make money.

Why not spending 40B on people that need and other 40B on Education "How to use Vista" :)

I like the Q and A ... talking about what they would do with the brands.

Q: How would we address the multiple brands and technologies within Live, MSN, and Yahoo!? Which brand would we keep?

A: Both Microsoft and Yahoo! have great brands and technologies. Yahoo! has a very strong consumer brand and we are committed to build on the Yahoo! brand as a major part of the combined products and services we deliver to customers. The Yahoo! brand is one of the reasons the combination of the two companies would create so much value. ...

This was definitely a marketing related email.

Comparing Microsoft's culture to Yahoo's culture is like comparing Nazi Germany to a daycare center. This will never, ever work.

Some observations:

#1 Wow, this memo has such an eerie conceited tone, as it assumes that the merger is a done deal already.

#2 Having been through a couple of corporate mergers, I can assure the employees of both Microsoft and Yahoo that layoffs (likely massive) are as sure as the sun will rise tomorrow.

#3 This memo also indicates that Microsoft really, really wants this deal, so it might do everything in its power to force this shotgun marriage through.
