[...] In my opinion this seems like it would create a company too large but on the other hand it could create great competition in the online world. Yahoo just recently announced 1,000 layoffs, could Microsoft be the company to get Yahoo properties back on track? So when it comes down to it I guess I don’t really have much of an opinion yet, I can see the goods and bads that could come out of this merger. We’ll just have to wait and see when and if the deal actually goes through, I hear News Corp (Rupert Murdoch’s media conglomerate) is now also scrambling for a bid. [...]

If Microsoft is smart, then it will protect and nurture YUI. YUI, Yahoo! developer network, and Yahoo Extreme performance team will walk off the campus and join Google. If that happens, then Microsoft will lose the development platform along with the search and ad networks.

Classic stock valuation analysis would lead one to simply ask what's the present value of all future net cash flows to the company? But, the answer to that question is basically a function of Yahoo's market share in search. The problem is that number keeps changing.

Everyone likes to pretend we can do standard equity analysis (discounted cash flows over 10-30 years) at some level to value these old dogs in the search market, but the reality is it is just as likely that some new Google-level quality search engine will emerge in the next ten years and completely disrupt the market.

Has anyone heard of ManagedQ? They look like someone who could make this acquisition look quite pricey in a few years when the search market gets flipped on its head again (like it always does).

I think of msft as a programming language company, yahoo has a search technology, news corp as unethical news for fux, I think goog, msft, yhoo all return very similar results, and convergence would reduce redundancy here, the next search technology will and needs to be a new innovation at its core.

advice to msft, let yahoo grow, "do both", if you have a winner great, but don't force everything under your bulky existing programming languages. but to succeed, you need to make information flow between web apps, it would be easier to pass information around as xml, than try to get the apps all connected. :P

Surely, Microsoft is keenly aware they that this acquisition gives them a lot more than Yahoo's search engine and search advertising business. It gives them a brand that, unlike their own, is not one of the most hated and mistrusted around the world. While Microsoft is infamous for being anti-competitive and making clunky, unoriginal software, Yahoo is not. Just as valuable as a leg up in its competition with Google, therefore, is the Yahoo name and its infinitely more welcome reception around the planet. To that end, Microsoft management would be smart to put their pride aside and actually make Yahoo the name of the combined company, reserving the Microsoft brand only for the software products with which it is already associated. Therein may lie the most valuable piece of this deal and the motivation for Microsoft to do what it takes to swat away all forthcoming Yahoo suitors, be they News, Disney or anyone else.

I agreed with @24, because how many startups have microsoft bought lately that were of any interest to the public. I hate to say it but I feel more comfortable with NewsCorp buying Yahoo. Unfortunately I don't see that happening.

At the end of the day, MSFT will own Yahoo!. MSFT has the money, the desire and the will to own Yahoo!.

As far as Newscorp and other private equity firms are concerned, I don't think they will have the $$ to compete against MSFT.

I do think Yahoo! will not be taken out at 31 but probably around 34.

This deal may trigger another round of consolidation. I won't be surprised if Google bids for Amazon or eBay to cover some ground...
